Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the services provided by Orion Digital Hub ("we", "our", "us") and the use of our website at www.oriondigitalhub.com. By engaging our services, you agree to be bound by these Terms.

1. Services

Orion Digital Hub provides digital marketing, advertising management, web development, and AI-powered services. The specific scope of services for each client is outlined in a separate proposal, service agreement, or contract.

2. Payment Terms

  • Payment terms are outlined in individual project proposals or agreements
  • A deposit (typically 50%) is required before work commences unless otherwise agreed
  • Remaining balances are due upon project completion or as per milestone schedule
  • Late payments may result in work being paused until payment is received
  • We reserve the right to charge a late fee of 2% per month on overdue balances

3. Client Responsibilities

The client agrees to:

  • Provide timely access to accounts, assets, and information required for the project
  • Assign a point of contact for communication and approvals
  • Ensure that all materials provided to us do not infringe upon any third-party rights
  • Comply with applicable advertising platform policies (Meta, Google, etc.)

4. Intellectual Property

Upon receipt of full payment, the client owns all final deliverables produced specifically for them. Orion Digital Hub retains the right to display work in its portfolio and for case study purposes unless the client requests otherwise in writing. Pre-existing tools, templates, or frameworks developed by Orion Digital Hub remain our intellectual property.

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of the agreement.

6. Limitation of Liability

Orion Digital Hub is not liable for advertising performance outcomes as these are influenced by external platform algorithms, market conditions, and audience behavior. We commit to best-effort management and optimization. In no event shall our liability exceed the total fees paid by the client in the three months preceding the claim.

7. Termination

Either party may terminate an agreement with 14 days' written notice. Upon termination, the client shall pay for all work completed up to the termination date. Prepaid amounts for unstarted work may be refunded at our discretion.

8. Governing Law

These Terms are governed by the laws of the Arab Republic of Egypt. Any disputes shall be subject to the exclusive jurisdiction of the courts of Cairo, Egypt.

9. Changes to These Terms

We reserve the right to update these Terms at any time. Continued use of our services after changes constitutes acceptance of the revised Terms.
